The Securities and Exchange Board of India (for short the Board) carried out investigations in the scrip of K.C. Bokadia Films Ltd. (for short the company). During the course of the investigations, the investigating officer addressed a communication dated January 4, 2005 to the Managing Director of the company calling upon him to furnish the following information -
Name and address of all the promoters, directors, friends, relatives, associates, group companies and associate companies etc. mentioning their shareholding in terms of percentage and No. of shares in the company for the quarters ended on December 31, 2003, March 31, 2004, June 30, 2004 and September 30, 2004.
Detail of other directorship held by the above mentioned directors and promoters during the period of January 01, 2004 to September 30, 2004.
Distribution schedules for the quarters ended on December 31, 2003, March 31, 2004, June 30, 2004 and September 30, 2004 mentioning the names of top 50 shareholders with their shareholding in terms of percentage and No. of shares.
Detail of corporate announcements if any, and actions from January 01, 2004 to September 30, 2004.
Confirm and indicate whether the company/promoters/directors had availed loan/finance from banks/financial institutions by pledging the shares held in their name as collateral security during the period of January 01, 2004 to September 30, 2004. If yes, furnish details such as name and address of the bank/financial institution, amount of loan availed, date of loan and No. of shares pledged etc.
Disclose the details of loans/financial assistance extended by the company to its promoters/directors/associates and group companies during the period of January 01, 2004 to September 30, 2004. If yes, indicate the name of the counter party, nature and amount of loan and the date of loan etc.
Furnish the details of the shares of KCBFL sold/bought (either through market or off market) by the promoters/directors/associate and group companies etc during the period of January 01, 2004 to September 30, 2004. If yes, furnish details such as name and address of the counter party, No. of shares sold/bought, price at which transaction took place, detail of payment made and received etc. With respect to the above buy/sell transactions copies of the demit statements and bank account statements may be enclosed highlighting the deliveries/receipt of shares and payments made and received...
