Important Provisions

(a) Clause 47 (c) of the listing agreement

Procedure

(a) A company secretary in practice has to scrutinize the documents and issue the certificate.

(b) Under section 108 of the Companies Act 1956 the share certificates have to eb returned in two months after endorsement of transfer or return of share certificate on consolidation or sub-divisions.

(c) The document that need to scrutinized are

(i) share transfer receipt register or any other record that would give the information about the receipt of transfers

(ii) dispatch records to ascertain number of share certificates sent after transfer within a period of one month or after one month.

(iii) Objection memos sent to the persons who lodged transfers

(iv) allotment money or call money register indicating the number of request received for endorsements on share certificate. Further, to verify whether the company has sent the same within a period of one month.

(v) The number of requests received for consolidation/sub division/renewal/exchange of share certificates. Further, to verify whether the same has been sent within a period of 30 days.

(name of the company), in respect of transfers lodged for the registration of transfer of equity shares issued by it for the purpose of issuing the certificate under sub clause (c) of clause 47 of the listing agreement with the stock exchange, Delhi and based on my such examination as well as information and explanation furnished to me which to the best of my knowledge and belief were necessary for the purposes of the certification, I hereby certify that in my opinion and according to the best of my information and belief the company has, in relation to the half year ended on..........................
