This AGREEMENT made on this_______ day of __________
Between
M/s ____________________ a company registered under the Companies Act, 1956 and having its registered office at__________________________ hereinafter referred to as "the Company" (which expression shall unless repugnant to the context or meaning thereof include its authorised representatives, successors and assigns) of the one part.
And
_________________,S/o _________ r/o _______________ hereinafter referred to as "the Agent" (which expression shall unless repugnant to the context or meaning thereof include his heirs, executors, administrators, legal representatives and assigns) of the other part.
Whereas

The Company is engaged in manufacturing and trading of _________________ (describe the nature of business) and desires to appoint an agent for promoting its products in __________ (specify the area)

________ has approached the Company for appointment as an agent and the Company has decided to appoint him as an agent on the terms and conditions hereinafter appearing.
Now This Agreement Witnesseth as Follows:
1. Term of Agreement
The Company appoints the Agent for a term of ______ years from the date hereof for the promotion of its products in the area of _____________ and the Agent shall book orders for the products in accordance with the terms and conditions fixed by the Company from time to time.
2. Agent to Serve Faithfully and Devote Full Time
During the term of this Agreement, the Agent shall serve the Company faithfully, diligently and according to his best abilities in all respects and shall at all times obey the directions given to him by the Company. Further, during the term of this Agreement, he shall devote the whole of his time, attention and energies to the performance of the duties as such agent and shall not promote directly or indirectly the product of any other Company.
3. To Keep Account and remit money
The Agent will, subject to the terms and conditions fixed by the Company from time to time, keep proper books of account of the products sold and amount collected by him on such sale and remit the amount so received on such sale along with a statement of all business done to the Company at fixed intervals.
4. Remuneration of Agent
The Company shall pay to the Agent the remuneration as follows:
