Agreement between a Newspaper Publisher and an Advertising Agent

This AGREEMENT made on this_______ day of __________

Between

M/s _____________ a company registered under the Companies Act, 1956 and having its registered office at _______________________ hereinafter referred to as "the Company X" (which expression shall unless repugnant to the context or meaning thereof include its authorised representatives, successors and assigns) of the one part

And

_________________a company registered under the Companies Act, 1956 and having its registered office at _______________________ hereinafter referred to as "the Company Y" (which expression shall unless repugnant to the context or meaning thereof include its authorised representatives, successors and assigns) of the other part.

Whereas

  1. The Company X publishes a newspaper by the name of ___________ having daily circulation.

  2. The Company X has agreed to appoint the Company Y as its advertising agent for the aforesaid newspaper on the terms and conditions hereinafter appearing.

Now it is Hereby Agreed and Decided Between Both the Parties as Follows:

1. Appointment

The Company Y will act as the agent of the Company X for the purpose of securing advertisements for the aforesaid newspaper and will secure contracts for advertising at such rates as is given in Annexure to this Agreement.

2. Booking, Delivery of Advertisement and Collection of Advertising Charges

The Company Y will book the advertisement and send to the Company X the details of each advertisement viz., the matter, size, the intended date of publication, page no. etc., including the photograph, if any, to be published alongwith the advertisement. The Company Y shall also collect the advertisement charges in respect of the advertisements secured by it and shall remit the same to the Company X within __ days of the end of a week.

3. English Translation

If the text of any advertisement booked by the Company Y is in a language other than English, the arrangement for translation to the same in English shall be made by the Company Y without any extra charge.

4. Space for Advertisement

The space for which advertisement shall be secured by the Company Y shall be the first page, last page and the middle page in each issue of the said newspaper.

5. Commission

The Company A shall pay a commission of ___ per cent on the amount of all bills for advertisements secured by the Company Y and published in the aforesaid newspaper. The Company Y shall, within a period of ____ days, from the expiry...
