Assignment of a Design

Assignor to assign his right to the said design to enable the Assignee to manufacture the sets with the said design and which the Assignor has agreed to do.

NOW THIS DEED WITNESSETH that pursuant to the said agreement and in consideration of the sum of Rs......paid by the Assignee to the Assignor on the execution of these

DEED OF ASSIGNMENT is made at.....this.......day of......... Between Mr.Vishwas Raoresiding at... hereinafter referred to as 'the Assignor' of the One Part and M/s. Nexus & Co. Ltd., a company registered under the Companies Act 1956 and having its registered office at......hereinafter referred to as 'the Assignee' of the Other Part.

WHEREAS --

  1. The Assignor has prepared a design of a television set and the same is registered under the Designs Act 1999 under No.... in the name of the Assignor as proprietor thereof. The particulars of the design including its picture are given in the Schedule hereunder written.

  2. The Assignee intends to manufactureCompact Disc players and has requested the Presents (receipt whereof the Assignor doth hereby admit) the Assignor doth hereby assign or transfer unto the Assignee all his rights and title to and interest in the said registered design particulars of which are given in the Schedule hereunder written TO HOLD the same unto and to the use of the Assignee absolutely And the Assignor covenants with the Assignee that he will, at the request but at the expense of the Assignee sign, or execute all and further documents and shall do all acts and things as may be required to vest the right and title...
